Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Ekklesia church administration platform ("Service"), including related websites, applications, APIs, and subdomains, operated by Nylank Technologies ("Nylank", "we", "us", or "our") through ekklesia.it.com and related domains. By creating an account, clicking to accept these Terms, inviting users, or otherwise using the Service, you agree to be legally bound by these Terms.

1. Definitions

  • "Ekklesia" means the church administration software platform branded as Ekklesia, operated by Nylank.

  • "Organization" means a church or community workspace created on the Service.

  • "Administrator" means a user with administrative privileges for an Organization.

  • "Member" means a person whose profile or account is managed within an Organization.

  • "Platform Operator" means a Nylank staff or control-plane user who manages the Service across Organizations.

  • "Church Data" means information entered into the Service by or for an Organization, including member records, events, communications, finance data, pastoral notes, and related content.

  • "Authorized Users" means Administrators, Members, and other individuals the Organization permits to access its workspace.

2. Purpose of the Service

Ekklesia helps churches manage members, events, communications, kids check-in, finance workflows, and related administrative tasks. The Service is intended solely for legitimate church and community administration.

The Service is a software platform. We do not provide pastoral, legal, accounting, tax, or counseling advice. Decisions made using information in the Service remain the responsibility of each Organization.

Financial reports and tools in the Service are administrative aids only and should not be relied upon as professional accounting, audit, or tax advice. Organizations remain responsible for their own books, filings, and financial controls.

3. Access to the Service

Subject to these Terms and any applicable subscription or fees, Nylank grants the Organization and its Authorized Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service solely for the Organization's internal church administration purposes.

No ownership of the Service, software, or related intellectual property is transferred to you. Except for the limited access rights expressly granted in these Terms, Nylank reserves all rights in the Service.

4. Account types and eligibility

You may use the Service as an Organization Administrator, invited or self-registered Member, visitor using limited flows (such as check-in or feedback), or Platform Operator where authorized.

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly at support@ekklesia.it.com if you suspect unauthorized access.

If you create an Organization, you represent that you are authorized to bind that church or community to these Terms.

5. User responsibilities and acceptable use

You agree not to misuse the Service. You must not:

  • Send spam, harassment, phishing, or unauthorized bulk communications.

  • Upload unlawful, defamatory, infringing, or harmful content, or introduce malware or other malicious code.

  • Attempt to access another Organization's data without authorization, scrape the Service, probe security, or use automated bots or similar means in a way that abuses the Service.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas of the Service, except to the extent such restriction is prohibited by law.

  • Copy, modify, rent, lease, sell, resell, or sublicense the Service, or sell or transfer access to another party.

  • Use the Service to build a competing product or service, or to benchmark it for competitive purposes without our prior written consent.

  • Share login credentials or circumvent access controls, rate limits, permission systems, or usage limits.

  • Use the Service for cryptocurrency mining, excessive API or resource abuse, or in a way that harms deliverability, integrity, or availability for others.

  • Use the Service in violation of applicable export control or sanctions laws.

6. Organization administrator responsibilities

Administrators control membership, roles, invitations, communications settings, and Church Data within their Organization. Administrators are responsible for obtaining any consents required under applicable law before importing member data or sending emails or messages on behalf of the church.

Administrators must configure notification and mailing practices consistent with recipient preferences and applicable anti-spam and data-protection rules.

Organizations are responsible for obtaining all permissions and parental or guardian consents required under applicable law before collecting or processing children's personal information through the Service (including kids profiles and check-in).

7. Church Data ownership and roles

As between you and Nylank, the Organization retains ownership of its Church Data. Nylank processes Church Data to provide, secure, support, and improve the Service.

For member and pastoral records stored for a church, the Organization is typically the data controller (or equivalent under the Nigeria Data Protection Act, 2023 (NDPA), related NDPR instruments, and other applicable data protection laws). Nylank Technologies acts as a processor on the Organization's instructions, except where Nylank determines the purposes and means of processing for its own operational purposes (such as account management, billing, platform security, abuse prevention, and analytics), in which case Nylank acts as an independent controller. Details are in our Privacy Policy.

8. Confidentiality

Nylank will treat Church Data as confidential and will not disclose it except as necessary to provide the Service, comply with law, protect the rights and security of the Service or others, or as otherwise described in the Privacy Policy.

You agree not to disclose non-public information about the Service (including security details, unpublished features, or confidential support materials) except as needed for legitimate use of your Organization workspace.

9. Data protection and privacy

Our collection and use of personal data is described in the Privacy Policy for the Service. By using the Service you also acknowledge that policy.

Members and other individuals may request access, correction, or deletion of their personal data as described in the Privacy Policy and through in-app support channels where available.

10. Email and other communications

Transactional emails (for example account verification, password reset, and security notices) may be sent as needed to operate the Service.

Non-essential or marketing-style church communications should be sent only to recipients who have opted in or where another lawful basis applies. Recipients may unsubscribe from non-essential communications where that option is provided.

We implement bounce and complaint handling and may throttle or suspend sending that harms deliverability or violates these Terms.

11. Intellectual property and feedback

The Ekklesia brand, and the Service software and documentation, remain the property of Nylank or its licensors. These Terms do not transfer ownership of the Service to you.

You retain rights in Church Data and content you upload. You grant Nylank a limited license to host, process, transmit, and display that content solely to operate the Service.

If you provide feedback, suggestions, or ideas about the Service, Nylank may use them without restriction or obligation to compensate you.

12. Third-party services and beta features

The Service may integrate with or depend on third-party services (for example hosting, email delivery, storage, monitoring, or payment providers). Nylank is not responsible for the availability, performance, or policies of those third parties.

Features labeled as beta, preview, or experimental are provided "as is", may change without notice, and may be discontinued at any time.

13. Service availability, security, and backups

The Service is provided "as is" and "as available." We aim for reliable uptime but do not guarantee uninterrupted or error-free operation. Features may change as we improve the product. We may perform maintenance, apply security updates, or temporarily limit features when reasonably necessary.

While we implement reasonable administrative, technical, and organizational safeguards, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

Organizations are responsible for maintaining copies of important records where required. Although Nylank maintains backups for operational purposes, those backups are not intended as a user archive, and restoration of specific Church Data is not guaranteed.

14. Fees

Some features or tiers may be offered free of charge; others may require paid plans. If paid plans apply to your Organization, pricing, invoicing, and renewal terms will be presented at purchase or in an order form. Access rights under these Terms for paid features are subject to payment of applicable fees to Nylank. Unpaid amounts may result in suspension of paid features.

15. Disclaimers of warranties

To the fullest extent permitted by law, Nylank disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Service is provided "as is" and "as available" without warranty that it will meet your requirements or be uninterrupted, secure, or error-free.

16. Limitation of liability

To the fullest extent permitted by law, Nylank and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from your use of the Service.

We are not liable for downtime, data loss, or errors caused by factors outside our reasonable control, including third-party hosting, email providers, network failures, or Administrator misconfiguration.

Our aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts paid by the Organization to Nylank for the Service in the twelve (12) months before the claim, or (b) USD 100 (or local currency equivalent), except where liability cannot be limited under applicable law (including fraud or willful misconduct).

17. Force majeure

Nylank shall not be liable for failure or delay resulting from events beyond our reasonable control, including natural disasters, internet or infrastructure failures, cyberattacks, labor disputes, government actions, epidemics, or failures of third-party providers.

18. Indemnification

The Organization agrees to defend, indemnify, and hold harmless Nylank Technologies and its officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to the Organization's use of the Service, Church Data, communications sent through the Service, or violation of these Terms or applicable law by the Organization or its Authorized Users.

19. Suspension and termination

We may suspend or terminate accounts or Organizations that violate these Terms, create security or legal risk, or remain inactive for an extended period after notice where practicable.

We may remove or disable specific content that violates these Terms or applicable law without terminating the entire Organization.

Administrators may request Organization closure through support. Upon termination we will make Church Data unavailable for normal use and, subject to legal retention needs and our Privacy Policy, delete or anonymize it within a commercially reasonable period. Export options may be available before closure; request assistance at support@ekklesia.it.com. Access rights end upon termination or suspension.

20. Changes to these Terms

We may update these Terms periodically. Material changes will be indicated by updating the effective date on this page and, where appropriate, by in-product or email notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

21. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or to an affiliate.

22. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts located in Nigeria have exclusive jurisdiction over disputes arising from these Terms, unless mandatory consumer or data-protection rights require otherwise.

Before filing a claim, please contact support@ekklesia.it.com so we can try to resolve the issue informally.

23. General

These Terms, together with the Privacy Policy and any applicable order forms or subscription terms, constitute the entire agreement between you and Nylank Technologies regarding the Service and supersede prior agreements on the same subject.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement of that or any other provision.
